Exhibit A · Modern Aminos Affiliate Commission Plan

Affiliate Commission Plan

This Affiliate Commission Plan ("Plan") establishes the commission tiers, rates, and payout protocols applicable to approved Affiliates participating in the Modern Aminos Affiliate Program.  This Plan is incorporated into and governed by the primary Modern Aminos Affiliate Program Agreement, and in the event of any direct conflict, the primary agreement will control.

Section 1

Overview

This Commission Plan applies to all Affiliates approved under the Modern Aminos Affiliate Program (the “Program”).  Affiliate tier status is determined on a daily basis by reference to the Affiliate’s Net Sales generated during the immediately preceding rolling 30-day period.  For purposes of this Plan, “rolling 30-day period” means the 30 consecutive calendar days ending at 11:59 p.m. Central Time on the day immediately preceding the date on which the applicable commission rate is determined.

  • An Affiliate will be classified as a Tier 1 Affiliate on any day when the Affiliate’s Net Sales for the immediately preceding rolling 30-day period are less than $50,000.
  • An Affiliate will be classified as a Tier 2 Affiliate on any day when the Affiliate’s Net Sales for the immediately preceding rolling 30-day period are equal to or greater than $50,000.

“Net Sales” means the gross amount actually received by Modern Aminos for products sold through the Program, less taxes, shipping charges, refunds, chargebacks, non-commissionable fees, and discounts or promotions not approved for commission purposes.  Net Sales will be calculated using the Company’s internal books, records, and tracking systems, including Program reporting data, and those records will control absent clear and reasonable evidence of an error.

Section 2

Tier 1 Commission Structure

The Tier 1 commission structure applies on any day the Affiliate qualifies as a Tier 1 Affiliate under Section 1.  The commission rates set forth in this Section apply only to Qualifying Sales properly attributed to the Affiliate and completed on that day.

2.1 First-Order Commissions

For a New Customer’s first Qualifying Sale, the Affiliate will earn a commission equal to 25% of Net Sales.  This first-order commission applies only to the customer’s first-ever completed and properly attributed purchase with Modern Aminos or any of its subsidiaries.

For purposes of this Plan, a “New Customer” is a customer who has not previously completed a purchase from Modern Aminos or any of its subsidiaries before the applicable order.   A customer will not be considered a New Customer if the customer has previously completed an order, even if that prior order was not attributed to the Affiliate.

Once a customer has completed a First Qualifying Sale, all later Qualifying Sales by that customer will be treated as subsequent orders under Section 2.2, provided the customer remains properly attributed to the Affiliate under the Program’s tracking rules.

2.2 Subsequent-Order Commissions

For each Qualifying Sale placed by a customer after that customer’s First Qualifying Sale, the Affiliate will earn a commission equal to 10% of Net Sales.  This subsequent-order commission rate applies to all product categories and continues only for so long as that customer remains properly attributed to the Affiliate under the Program’s tracking rules.

Order Type Commission Condition
First Qualifying Sale 25% Applies to a New Customer’s first completed and properly attributed order
Subsequent Qualifying Sales 10% Applies while the customer remains properly attributed to the Affiliate
Section 3

Tier 2 Commission Structure

The Tier 2 commission structure applies on any day the Affiliate qualifies as a Tier 2 Affiliate under Section 1.  Tier 2 status is determined once each day as of 12:00 a.m. Central Time by reference to the Affiliate’s Net Sales during the immediately preceding rolling 30-day period.  Because tier status is recalculated daily, an Affiliate may move into or out of Tier 2 from one day to the next depending on the Affiliate’s then-current rolling 30-day Net Sales.

3.1 Tier 2 Performance Uplift

On any day the Affiliate qualifies as a Tier 2 Affiliate, the Affiliate will earn an additional 5% performance uplift on all Qualifying Sales completed on that day.  As a result, the effective commission rate for a New Customer’s first Qualifying Sale on a Tier 2 day is 30% of Net Sales (25% + 5% uplift), and the effective commission rate for a subsequent Qualifying Sale on a Tier 2 day is 15% of Net Sales (10% + 5% Uplift).

The Tier 2 performance uplift applies only to Qualifying Sales completed on days when the Affiliate is classified as Tier 2.  It does not retroactively apply to sales completed on earlier Tier 1 days, and it does not continue on any later day for which the Affiliate no longer qualifies as Tier 2.  Tier determinations and uplift calculations will be made using the Company’s Program records, including reporting data maintained in GoAffPro, which will control absent clear and reasonable evidence of an error.

Tier 2 Commission Structure:  First-order commissions become 30% on Tier 2 days, and subsequent-order commissions become 15% on days where the Affiliate's rolling 30-day Net Sales is $50,000 or greater.
Section 4

Payouts and Payments

Commissions are processed on a monthly basis, typically on or around the 10th day of each month, and cover Qualifying Sales from the prior calendar month.  This payout schedule is subject to the Company’s standard validation period, including any applicable reviews for refunds, chargebacks, and order accuracy.  The Company may adjust the timing of payouts in its reasonable discretion if necessary to complete such reviews or to address any discrepancies in the commission records.

A cash payout will be issued only if the Affiliate’s approved commission balance reaches a minimum of $250 for the applicable payment cycle.  If the approved balance falls below this threshold, the Company may, at its sole discretion, either roll the amount forward into the next payment cycle or issue the commission amount in the form of store credit, depending on the Company’s then-current payout policies.

No commission payment, whether in cash or store credit, will be issued until the Affiliate has provided complete and valid tax documentation.  For U.S. Affiliates, this means a fully completed IRS Form W-9 on file with the Company.  For international Affiliates, an equivalent tax form or documentation required under applicable law must be submitted and accepted by the Company before the Affiliate becomes eligible to receive any payout.

Section 5

Discretionary Benefits

The Company may, from time to time and at its sole discretion, offer supplemental incentives to Affiliates in addition to the base commissions described in this Commission Plan, and any such incentives may be taxable to the recipient.  These discretionary benefits may be modified, suspended, or discontinued at any time without prior notice to Affiliates and do not alter or expand the Affiliate’s base commission entitlements unless expressly stated in a separate written communication.

Examples of discretionary incentives that the Company may offer include store credit awards for Affiliates who consistently promote the brand through regular, high-quality content or meaningful community engagement; quarterly bonuses tied to specific sales milestones or growth targets, which may be paid as lump-sum cash payments or temporary enhanced commission rates; experiential rewards such as all-expenses-paid trips, annual retreats, or conference attendance for top-performing Affiliates; and periodic contests or leaderboard-based promotions offering additional rewards as announced by the Company from time to time. Eligibility, timing, and the form of any such discretionary benefit are determined by the Company in its sole discretion and may be subject to additional terms or conditions communicated separately.

Current Discretionary Benefits:
$100 in store credit for every $10,000 in Net Sales, up to a maximum of $500, measured over each calendar month.
Section 6

General Provisions

This Commission Plan is incorporated into and governed by the Modern Aminos Affiliate Program Agreement (the “Primary Agreement”) and forms part of the overall agreement between the Company and the Affiliate.  All provisions of the Primary Agreement relating to fraud prevention, refund processing, chargeback liability, tracking rules, audit rights, and termination procedures apply fully to the commission calculations and payment obligations under this Plan.

The definitions, interpretive principles, and legal frameworks set forth in the Primary Agreement will control the interpretation of this Commission Plan.  In the event of any direct conflict between the terms of this Commission Plan and the Primary Agreement, the provisions of the Primary Agreement will prevail and take legal precedence.  The inclusion of this Commission Plan does not modify, limit, or waive any of the Company’s rights or the Affiliate’s obligations under the Primary Agreement unless expressly stated in writing.
